Turkcell is the leading mobile phone operator of Turkey, based in Istanbul. The company has 36.3 million subscribers by the end of September 2008, making it the third biggest in Europe.

In February 1994, Turkcell started Turkey’s first GSM network. Its competitors are Vodafone with a market share of 24% and Avea with a market share of 16%.

Turkcell is the first Turkish company to be listed on the New York Stock Exchange (NYSE), where its shares have been traded since July 11, 2000 along with trading on the Istanbul Stock Exchange (IMKB).

Turkcell’s shareholder structure is as follows: 51% is held by Turkcell Holding A.Ş., 4.15% by Çukurova Holding A.Ş., 13.07% by Sonera Holding B.V., 2.32% by MV Holding A.Ş., and the free float is 29.38%. Çukurova Group controls the company despite holding only 18% of the share capital, due to a complicated shareholding/voting structure.

Turkcell also provides GSM services internationally. It has 9.6 million subscribers via Fintur and its affiliates in partnership with TeliaSonera in Azerbaijan, Kazakhstan, Georgia and Moldova, as of September 30, 2007. Turkcell’s Ukranian majority-held business, Astelit, has 10.6 million subscribers.

“Avea” (A ve (and) A: Initial letters of before-merger operators Aria and Aycell) is one of three GSM operators in Turkey. It has been founded in 2004 with the merger of the two GSM operators Aycell (owned by Turk Telekom) and Aria (joint venture of Is Bankasi (51%) and TIM (49%)). TIM and Turk Telekom owned 40.5% stake each and Is Bank Group held 19%. In September 2006, Telecom Italia, having received authorisation from the relevant Turkish authorities, finalized the sale of 40.5% stake in Avea, held by subsidiary TIM International, to Turk Telekom, for a total of USD 500 million. Currently, 81% of Avea is owned by Turk Telekom and remaining 19% is owned by Is Bankasi. Its competitors, Turkcell and Vodafone Turkey, have both been founded in 1994 and use the GSM 900 frequency range while Avea uses the GSM 1800 range.
